  • Compare asset vs. share sales and their tax/legal impacts
  • Understand securities compliance and deal structuring
  • Learn how to use a Letter of Intent (LOI) to negotiate key terms upfront and transition effectively to a definitive agreement
  • Review legal forms and financing models

Core Competencies: Business Valuation, Economics, Disclosures
  • Learn SDE vs. EBITDA, multipliers, and ROI tools
  • Apply valuation principles to real cases
  • Use AI-assisted valuation to analyze financial data, apply valuation multipliers, and simulate real-world buyer scenarios

Core Competencies: Statutory Requirements, Environmental Due Diligence
  • Master the due diligence process and checklists
  • Identify legal liabilities and regulatory compliance
  • Use AI tools to research, organize, review, and present findings

Session 5: Marketing the Business for Sale
Core Competencies: Property Marketing, Ethics, Assignments
  • Maintain confidentiality while marketing
  • Craft presentations and IMs for buyer profiles

Session 6: Closing the Deal
Core Competencies: Negotiations, Contracts, Transaction Taxation
  • Navigate final agreements and transition planning
  • Understand key documents: PSA, NDA, LOI, etc.
  • Spot legal pitfalls that can void a contract
Session 7: Professional Ethics & Responsibility
